Terms of Service

These Terms govern your use of Samba. By creating a Samba account or using the Service, you agree to these Terms.

If you're agreeing on behalf of a business, you confirm you have the authority to bind that business.

1. Who we are

Samba is operated by Samba SASU, a company registered in France.

We refer to ourselves as "Samba," "we," or "us." We refer to you, the operator using the Service, as "you" or "the Operator."

2. What Samba does

Samba is a software platform that helps tour operators sell, manage, and get paid for trips. The Service includes booking pages, payment collection through Stripe, traveler communications, and reporting tools.

You are responsible for the trips you sell, the travelers you serve, and how you run your business. Samba provides the software; you run the operation.

3. Your account

You need an account to use Samba. You must:

  • Provide accurate information when signing up.
  • Keep your login credentials secure.
  • Be at least 18 years old and legally able to enter into contracts.
  • Use Samba for legitimate business purposes only.

You're responsible for everything that happens under your account, including actions by team members you invite.

4. Pricing and payment

Pricing is set out at sambahq.com/pricing and is incorporated into these Terms.

How billing works:

  • Subscription plans are billed monthly in advance in US dollars.
  • Booking commission (2% of booking volume) accrues during the month and is billed together with your next subscription renewal.
  • Your first $10,000 in lifetime booking volume per workspace is exempt from the 2% commission.
  • All charges are processed via Stripe.

Auto-renewal and cancellation:

  • Paid plans renew automatically each month until you cancel.
  • You can cancel at any time from your account settings. Cancellation takes effect at the end of your current paid period.
  • We do not provide refunds for partial periods, but you keep access until the period ends.

Taxes:

  • Prices are exclusive of taxes.
  • For French business customers, French VAT applies at the standard rate.
  • For EU business customers outside France, the reverse-charge mechanism applies (no French VAT charged; you account for VAT in your country).
  • For customers outside the EU, no French VAT is charged.

Payment failures: If a charge fails, we'll retry and notify you. If payment remains unresolved, we may suspend or terminate your account under section 9.

5. Stripe and traveler payments

Samba integrates with Stripe to process payments from your travelers directly to your Stripe account. Samba does not touch traveler funds.

By using Samba, you:

  • Maintain your own Stripe account in good standing.
  • Are responsible for compliance with Stripe's terms and any other payment provider you connect.
  • Handle refunds, chargebacks, and disputes from travelers directly. Samba is not party to the transaction between you and your traveler.

When you refund a booking, the corresponding 2% Samba commission is also refunded — you don't pay commission on money you didn't keep.

6. Your responsibilities as an operator

You are the merchant of record for every trip sold through Samba. This means:

  • You contract directly with your travelers; Samba is not party to that contract.
  • You're responsible for delivering the trips you sell, or refunding travelers if you can't.
  • You handle traveler disputes, chargebacks, complaints, and customer service.
  • You comply with all laws applicable to your business and the trips you operate, including consumer protection law, travel and tourism regulation (such as the EU Package Travel Directive and the French Code du Tourisme where applicable), tax law, and data protection law.
  • You hold any licenses, insurance, or financial guarantees required in your jurisdiction.

You're also the data controller for your traveler data. You decide what to collect, why, and how long to keep it (within legal limits). See section 11 and our Privacy Policy.

7. Acceptable use

You may not use Samba to sell, promote, or operate:

  • Adult content or services
  • Weapons, firearms, or ammunition
  • Gambling, betting, or lotteries
  • Tobacco, cannabis, or controlled substances
  • Multi-level marketing schemes, pyramid schemes, or financial scams
  • Anything illegal under French law, EU law, or the laws of the jurisdiction where you or your travelers are located
  • Activities targeting persons or entities subject to EU, French, US, or UN sanctions

You also may not:

  • Attempt to gain unauthorized access to Samba's systems or other operators' accounts
  • Reverse-engineer, scrape, or systematically extract data from Samba beyond normal use of the Service
  • Use Samba to send spam, phishing messages, or malware
  • Impersonate another business or person
  • Interfere with Samba's operation or other operators' use of the Service

If we believe you've violated this section, we may suspend or terminate your account immediately. See section 9.

8. Intellectual property

Samba and everything in it — code, design, branding, documentation — belongs to Samba SASU. You get a limited, non-exclusive right to use the Service while your account is active.

You keep ownership of everything you upload: your trip content, branding, traveler data, and business records. By using Samba, you grant us the right to host, process, and display your content as needed to operate the Service for you.

You're responsible for making sure you have the rights to anything you upload (photos, trip descriptions, etc.).

9. Suspension and termination

You can terminate at any time by canceling your account. Access continues until the end of your current paid period (see section 4). You can export your data at any time before then.

We can terminate or suspend your account if:

  • You don't pay
  • You materially breach these Terms (including the Acceptable Use policy)
  • You put Samba, our other operators, or your travelers at legal or operational risk
  • We're required to by law

If we terminate your account, you'll have 30 days to export your data, after which we'll permanently delete it (except records we're legally required to keep — see section 11 and our Privacy Policy).

Active bookings: If you have travelers who have already booked and paid for upcoming trips when your account is terminated, those bookings continue to operate normally until those trips are completed. You remain responsible for delivering them.

10. Service availability

We target 99.5% monthly uptime, excluding scheduled maintenance and events outside our reasonable control. This is a target, not a contractual SLA — we don't offer service credits if we miss it.

We may make changes to the Service, including adding, modifying, or removing features. We'll give reasonable notice for changes that materially affect how you use Samba.

11. Data and privacy

Our handling of personal data is governed by our Privacy Policy.

In short:

  • You're the data controller for your traveler data; Samba is the data processor.
  • Samba is the data controller for your operator account data.
  • A Data Processing Agreement (DPA) is available on request at privacy@sambahq.com.

12. Warranties and disclaimers

Samba is provided "as is." We do our best to keep it working well, but we don't promise it will be error-free, uninterrupted, or suitable for every specific business need.

To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law:

We are not liable for:

  • Indirect, consequential, incidental, or special damages
  • Lost profits, lost revenue, lost business opportunities
  • Lost or corrupted data
  • Third-party claims, including disputes between you and your travelers, your payment providers, or any other third party

Our total cumulative liability to you under or in connection with these Terms is capped at the greater of:

  • USD $1,000, or
  • The total subscription fees you paid to Samba in the 12 months preceding the event giving rise to the claim.

The 2% commission on booking volume is excluded from this cap calculation — only subscription fees count toward it.

Nothing in these Terms limits liability for matters that cannot be limited under French law, including fraud, willful misconduct, or gross negligence.

14. Indemnity

You agree to indemnify and hold Samba harmless from any claims, damages, or costs arising from:

  • Your use of Samba in breach of these Terms
  • Trips you sold or operated, including disputes with travelers
  • Your violation of applicable law
  • Your violation of any third-party rights

15. Changes to these Terms

We may update these Terms occasionally. If we make material changes, we'll notify you by email or in-product notice at least 30 days before they take effect. Continued use of Samba after the changes take effect means you accept the new Terms. If you don't agree, you can cancel your account.

16. Governing law and disputes

These Terms are governed by French law. Any dispute will be brought before the competent courts of Paris, France, except where mandatory consumer protection law gives you the right to bring proceedings elsewhere.

17. Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy and any DPA you sign with us, are the entire agreement between you and Samba.
  • Severability: If a provision is found unenforceable, the rest of the Terms remain in effect.
  • No waiver: If we don't enforce a right under these Terms once, that doesn't mean we waive it.
  • Assignment: You can't assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices: We'll send notices to you by email or in-product.
